Memorandum of Association of Indian Biscuit Manufactures’ Association
1. The name of the Association shall be “Indian Biscuit Manufacturs’ Association” (hereinafter known for brevity’s sake as “the Association”).
2. The Registered office of the Association shall be situated in the Union Territory of Delhi, and at present at Suit No.42-A, Indra Palace, H-Block, Middle Circle, Connaught Place, New Delhi – 100 001.
3. The objects for which the Association is formed are:-
a. To promote, protect and safeguard the interest of the Biscuit manufacturing industry, particularly in the small and medium sector (hereinafter known for brevity’s sake as :SMEs)
b. To promote and develop a systematic and hygienic Biscuit manufacturing Industry.
c. To promote the development of the consumption of Biscuit in any form whatsoever protection of the interests of the consumer’s of Biscuit and expansion of the market for biscuit in relation to the SMES biscuit manufacturing industry.
d. To provide all technical and managerial assistance and advice in relation to the biscuit manufacturing industry in general and manufacturing biscuits.
e. To assist the small and medium biscuit manufactures in the purchase of flour, inputs and other commodities and the provision for technical advice for improving manufacturing techniques and marketing methods.
f. To promote the benefits of the biscuit manufacturing craft by propagating, publicizing and publishing its products and services in any manner whatsoever and for the purpose to give prizes or gifts or encouragement to deserving members or potential members of the Association.
g. To promote research and product development for the biscuit manufacturing industry and the establishment of any research organization for the purpose, particularly for the benefit of SMEs manufacturing biscuits.
h. To promote the development of testing laboratories for raw materials relating to the biscuit manufacturing industry and to provide a low cost service to small and medium biscuit units for quality control of raw materials, finished products and for such other purposes relating to the said industry.
i. To make representations on behalf of the biscuit manufacturing industry and particularly members of the Association and / or affiliated Association of biscuit manufacturers in various regions, states across the country to the appropriate authorities. To promote, support or oppose legislation affecting the biscuit industry and trade according to circumstances.
j. To educate public opinion on all matters affecting the biscuit manufacturing industry in general and the interest of the members of the Association in particular.
k. To further the cause of the Association by holding consultations with the related Central, State Governments, local, municipal and other bodies and authorities and to consider, promote, oppose or watch any legislative or other measures affecting trade and if deemed advisable to address governments and authorities with respect thereto.
l. To create appropriate bodies to advise Government of various aspects connected with the development of the biscuit manufacturing industry. To enter into any arrangement with any Government or authority, Central, State, municipal, local or otherwise that may seem conducive to the Association’s objects or any of them, and to obtain from any such Government or authority all rights, concessions and privileges which the Association may think it desirable to obtain and to carry out, exercise and comply with any such arrangements, rights, privileges and concessions.
m. To support the development of training facilities in biscuit manufacturing craft in general and for small and medium biscuit manufactures in particular and to establish such facilities as and when required.
n. To collect compile and circulate statistics, market reports and all other useful information relating to the biscuit manufacturing industry.
o. To enlist as members BONA FIDE biscuit manufactures in the small and medium sector and other persons engaged in allied industries approved and classified by the Managing Committee.
p. To watch over, promote and protect the mutual interests of the members generally in the problems concerning industry.
q. To arrange to collect and maintain sufficient funds to enable the association to carry out its objects.
r. To enter into agreements with and to support chambers of commerce and similar bodies for the protection and advancement of manufacturing industry in small and members of the Association in particular.
s. To promote or assist in the promotion of any organization having objects similar or complimentary to the objects of the Association and to amalgamate or join any such organization.
t. To consider problems affecting diffusion of useful knowledge and education relating to biscuit manufacturing industry.
u. To promote science, literature and fine data bank for use among the members and to protect legitimate interests of the members of the Association.
v. To print, publish, exhibit, circulate and distribute free or at a reasonable price or contribute to the printing, exhibiting, circulation or distribution of any papers, periodicals, pamphlets or books likely to promote the objects of the Association.
w. To invite scholars to deliver lectures and to contribute to the preparation or publication of books, articles, periodicals, pamphlets or circulars likely to promote to the objects of the Association
x. To arrange and encourage lectures, talks, shows, exhibitions, fetes and social gatherings likely to promote the objects of the Association;
y. To raise, solicit, obtain or accept funds, subscriptions, donations, grants, gifts, divices, bequests or trusts from any Governments, public body or organization or person;
z. To arrange to collect and maintain sufficient funds to enable the association to carry out its objects.
aa. To acquire by purchase, gift, exchange, lease or otherwise howsoever any property, moveable or immoveable, or any easements rights of common or any estate or any estate or interest on whatsoever terms for the furtherance of any of the objects of the Association;
bb. To build, construct, maintain, repair enlarge, improve, modify, alter or extend any land or other immoveable property of the Association or equip the same with light, water, drainage, furniture, fittings, instruments, apparatus, appliances and other similar requisites from time to time and provide necessary facilities for recreation and pleasure in furtherance of any of the objects of the Association;
cc. To manage, sell, transfer, exchange, mortgage, demise, dispose of or otherwise deal with any property whatever belonging to the Association subject of any law in force for the time being;
dd. To create mortages over any moveable or immoveable property belonging to the Association or raise monies with or without security or in any other manner;
ee. To make grants, donations, loans or other payments in any form whatsoever from the funds of the Association to any association, or person or body, public or private, in furtherance of any of the Association; provided however that it shall not be competent to the Association at any time to distribute or make payment out of the income of the Association to its members as and by way of profits;
ff. To pay out of the funds of the Association all rents, rates, taxes, outgoings, salaries of employees, all office and other expenses including the expenses incidental to the formation of the Association even if the same be incurred before the formation of the Association;
gg. To accumulate, invest and otherwise deal with the property of the Association including capital cash and interest not immediately required for any of its objects;
hh. To sign, execute and deliver such instruments and documents as may be necessary for the formation and management of and in furtherance of any of the objects of the Association;
ii. To open bank accounts and to draw, make, accent, endorse and discount cheques, notes or other negotiable instruments and for the same purpose to authorise the office bearers and employees of the Association for carrying out the above or any of the objects of the Association;
jj. To do all such things either as principal or as agent or in conjunction with any other person or organization to propagate the biscuits manufacturing craftsmanship.
kk. To do all lawful, acts, deeds and things which are necessary for or incidental or conductive to the furtherance of any of the objects of the Association; provided that the Association shall not support with its funds any objects to impose on or procure observance by any of its members or others any regulations, restrictions or conditions which if an object of the Association would make the Association a trade union;
